PROCEDURE OF LLP INCORPORATION
A) Applying for DIN and DSC for the proposed Partners
For a Limited Liability Partnership (LLP) minimum 2 Designated Partners are required each Partner is required to have a DIrector Identification Number (DIN). If DIN is not already available, the application for obtaining DIN is required to be made along with the requisite Documents.
DSC of both the partners would be required.
B) Requisites for Filing Name availability application:
Application for Name availability to be filed in FORM 1.
Select a name which reflects the planned business. Ensure selected name satisfy LLP Name Guidelines and file an online application.
C) Filing of LLP Registration Documents :
After the approval of name LLP registration documents are filed along with FORM 2 . On scrutiny of documents filed, Registrar of LLP will register the LLP and certificate of Registration will be issued.
D) Documentation of and filing of LLP agreement and Consent of Designated Partners :
Within 30 days from the date of Incorporation of LLP, partners of LLP have to execute the LLP agreement and same has to be filed with Registrar of LLP in FORM 3 and the consent to act as Designated Partner/Partner has to be filed in FORM 4. LLP Agreement to be drafted according to the needs of the LLP.
